01Agreement to terms

By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you are authorized to bind that company, and “you” means that company. If you do not agree, do not use the Service.

02The Service

Klaylab provides a platform for producing short-form marketing videos. Depending on your plan, this may include AI-assisted script generation from references and briefs you provide, video formats such as Non-talking-head, Talking, Faceless, and related products, and production support from creators and editors. Features, formats, and limits vary by plan and may change over time. We may modify, add, or discontinue parts of the Service, and will give reasonable notice of material changes that adversely affect a paid plan.

03Accounts & eligibility

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for your team members’ use of the Service under your account.

04Plans, credits & billing

• Subscriptions & packs. Paid plans and video packs are billed through our third-party payment processor in advance on a recurring basis (e.g. monthly) or per purchase, at the prices shown at checkout.
• Auto-renewal. Subscriptions renew automatically for the same period until cancelled. You authorize us to charge your payment method on each renewal.
• Credits. Some plans include credits used to generate content. Unless stated otherwise at purchase, credits are consumed as you use the Service and may expire at the end of a billing period; expired or unused credits are not redeemable for cash.
• Taxes. Prices exclude taxes unless stated; you are responsible for applicable taxes.
• Price changes. We may change prices; changes apply from your next billing cycle after we give notice.
• Late or failed payment. We may suspend or limit the Service if a payment fails or is overdue.

05Cancellation & refunds

You can cancel a subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments and consumed credits are non-refundable, and we do not provide partial-period refunds. Any refund policy specific to a plan will be stated at checkout.

06Your content & licenses

“Your Content” means the references, links, briefs, prompts, brand assets, footage, and other materials you submit. You retain ownership of Your Content. You grant Klaylab a worldwide, non-exclusive license to host, process, reproduce, modify, and transmit Your Content as needed to operate the Service and produce your videos, including sharing it with the sub-processors, creators, and editors involved in your project.

You represent and warrant that you own or have all rights and permissions needed for Your Content and for any reference material you submit for recreation, and that our use of it as directed by you will not infringe any third party’s rights or violate any law. You are solely responsible for the references you choose and for clearing any rights in third-party music, footage, trademarks, or likenesses.

07Ownership of deliverables

Subject to your payment in full and your compliance with these Terms, Klaylab assigns to you the rights it holds in the final videos we deliver to you (“Deliverables”), so you may use them for your marketing. This does not transfer rights in any third-party materials, stock, or licensed elements, which remain subject to their own licenses. Klaylab retains all rights in the platform, software, models, workflows, templates, and any general know-how and tools used to create the Deliverables.

08AI-generated output

Parts of the Service use AI. Because of how generative AI works, output may be inaccurate, may resemble other content, and similar prompts may produce similar results for different users. Klaylab does not warrant that AI output is original, non-infringing, accurate, or fit for a particular purpose. You are responsible for reviewing and approving all output before publishing or relying on it, including checking facts, claims, rights, and brand suitability.

09Acceptable use

You agree not to use the Service to:

• infringe intellectual-property, privacy, or publicity rights, or submit content you lack rights to;
• create unlawful, deceptive, defamatory, hateful, harassing, or sexually exploitative content, or content that impersonates a person or brand without authorization;
• generate deceptive deepfakes or misrepresent AI-generated content where prohibited by law;
• reverse-engineer, scrape, resell, or build a competing service from the platform, or circumvent usage limits or security;
• upload malware, or interfere with or overload the Service; or
• violate any applicable law or third-party platform’s terms.

We may remove content or suspend accounts that violate these rules.

10Third-party services

The Service relies on third parties (e.g. payment, hosting, and AI providers) and may link to third-party sites or content. We are not responsible for third-party services, and your use of them may be subject to their own terms. When you submit a link from a third-party platform, you are responsible for complying with that platform’s terms.

11Disclaimers

The Service and Deliverables are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content or campaign will achieve particular results. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

12Limitation of liability

To the maximum extent permitted by law, Klaylab and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the three (3) months before the claim or USD 100. Nothing limits liability that cannot be limited under applicable law.

13Indemnification

You agree to defend, indemnify, and hold harmless Klaylab from claims, damages, liabilities, and costs (including reasonable legal fees) arising from Your Content, the references you submit, your use of the Deliverables, or your breach of these Terms or of any law or third-party right.

14Term & termination

These Terms apply while you use the Service. You may stop using it and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others. On termination, your right to use the Service ends; sections that by their nature should survive (e.g. content licenses granted, ownership, disclaimers, liability limits, indemnity, and governing law) will survive.

15Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction, except where mandatory local consumer law gives you other rights.

16General & contact

These Terms, with the Privacy Policy and any plan-specific terms at checkout, are the entire agreement between you and Klaylab. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We may update these Terms and will post the revised version with a new “Last updated” date; material changes take effect after notice, and continued use means acceptance.
